Terms and Conditions 

These Terms are intended for the NeuralClinic.Ai website and related digital services. They are drafted to cover a public marketing website, a patient/parent/legal guardian web app, and a provider/practice web app. 

Bracketed items should be completed before publication. Any state-specific, payer-specific, school-system, international, consumer-subscription, telehealth, or research-use terms should be added by counsel as applicable. 

1. Acceptance of These Terms 

These Terms and Conditions (the “Terms”) govern access to and use of the NeuralClinic.Ai website, patient/parent/legal guardian web app, provider/practice web app, dashboards, portals, reports, software features, content, communications, and related services (collectively, the “Services”). 

By accessing or using the Services, creating an account, clicking “I agree,” signing an order form, or using the Services on behalf of an organization, you agree to these Terms. If you do not agree, do not access or use the Services. 

If you use the Services on behalf of a medical practice, provider group, school, healthcare organization, employer, payer, or other entity, you represent that you have authority to bind that entity, and “you” includes that entity and its authorized users. 

2. Important Healthcare and Emergency Notice 

NeuralClinic.Ai is an AI-assisted health technology platform designed to support developmental health screening, care coordination, parent engagement, provider workflows, documentation support, and related educational and operational activities. The Services are not a substitute for professional medical judgment, diagnosis, treatment, emergency care, crisis response, or in-person clinical evaluation. 

Do not use the Services for medical emergencies, urgent psychiatric crises, risk of self-harm or harm to others, abuse or neglect reporting, or any situation requiring immediate clinical attention. In an emergency, call 911 in the United States or your local emergency number, or seek immediate help from a licensed clinician, emergency department, or crisis service. 

AI-generated outputs, questionnaires, summaries, risk indicators, recommendations, care-plan suggestions, reports, documentation drafts, or workflow prompts must be reviewed by qualified healthcare professionals before clinical use. Providers remain solely responsible for clinical decisions and patient care. 

3. Who May Use the Services 

Patient, parent, and legal guardian users. Patient-facing features may be used by adult patients, parents, and legal guardians who are authorized to provide information and manage services for a child or dependent. A parent or legal guardian represents that they have legal authority to create the account, provide information about the child or dependent, consent to use of the Services, and receive communications related to the child or dependent. 

Provider and practice users. Provider-facing features may be used only by licensed providers, authorized clinical staff, administrative staff, practices, and organizational users approved by NeuralClinic.Ai or by the customer organization. Provider organizations are responsible for confirming that users are authorized, trained, and permitted to access patient information. 

Minimum age. The Services are intended for use by adults and authorized organizations. Children should not create independent accounts unless expressly enabled by NeuralClinic.Ai and permitted by applicable law and required parental/legal guardian consent. The Services are not intended for unsupervised use by children. 

4. Patient, Parent, and Legal Guardian App Terms 

You agree to provide accurate, complete, and current information when using the patient, parent, or legal guardian features. You are responsible for confirming that information submitted about a child, dependent, family member, symptoms, behavior, developmental history, school observations, therapy status, medications, care plans, or health conditions is accurate to the best of your knowledge. 

You understand that developmental screening, symptom tracking, questionnaires, parent-reported data, school coordination tools, and AI-assisted summaries are informational and workflow-support tools. They do not independently diagnose autism, developmental delay, speech disorder, learning disorder, behavioral health condition, or any other medical condition. 

You agree not to rely solely on the Services to make healthcare, therapy, education, medication, safety, or emergency decisions. You should consult a qualified healthcare professional, therapist, school professional, or emergency service when appropriate. 

For children or dependents, you are responsible for using the Services in a manner consistent with the child’s best interests, applicable custody arrangements, school policies, provider instructions, and applicable law. 

5. Provider, Practice, and Organizational App Terms 

Provider and practice users are responsible for all clinical, professional, administrative, billing, documentation, coding, reimbursement, patient communication, and compliance decisions made using or based on the Services. 

The Services may generate suggested summaries, workflow prompts, documentation drafts, risk flags, care-plan suggestions, or other outputs. These outputs are not final clinical determinations and must be reviewed, edited as needed, and approved by an authorized provider or qualified staff member before inclusion in a medical record, communication to a patient, use in care delivery, or use for billing, reimbursement, coding, or payer submission. 

Provider organizations are responsible for maintaining their own professional licenses, patient consents, notice of privacy practices, patient-provider relationships, medical records, documentation standards, scope-of-practice compliance, supervision requirements, and applicable clinical protocols. 

Provider organizations must ensure that only authorized users access patient data, that credentials are not shared, that staff are trained appropriately, and that access is removed promptly when a user no longer has a legitimate need to use the Services. 

Provider organizations may not use the Services to unlawfully discriminate, deny care, replace required clinical evaluation, bypass professional obligations, or make decisions that require independent clinical judgment without appropriate human review. 

6. HIPAA, PHI, and Business Associate Terms 

When NeuralClinic.Ai receives, creates, maintains, or transmits protected health information (“PHI”) on behalf of a covered entity or business associate, those activities are governed by a separate Business Associate Agreement (“BAA”) or other written agreement required by applicable law. If there is a conflict between these Terms and an applicable BAA regarding PHI, the BAA controls for PHI matters. 

Provider organizations are responsible for determining whether they are covered entities, business associates, or otherwise subject to HIPAA or similar laws, and for obtaining any required patient authorizations, consents, notices, and permissions before using the Services. 

Patient, parent, and legal guardian users understand that information submitted directly through consumer-facing features may be handled according to the applicable Privacy Policy, consent workflow, and law. Not all health information submitted directly by a consumer to a health app is automatically subject to HIPAA unless the legal requirements for HIPAA coverage apply. 

NeuralClinic.Ai may use administrative, technical, and physical safeguards designed to protect information processed through the Services. However, no system can be guaranteed to be completely secure. 

7. Accounts, Credentials, and Security 

You are responsible for maintaining the confidentiality of usernames, passwords, authentication codes, and account credentials. You are responsible for all activity under your account unless caused by NeuralClinic.Ai’s breach of these Terms or applicable law. 

You agree to use accurate account information, promptly update changed information, use reasonable security practices, and immediately notify NeuralClinic.Ai of suspected unauthorized access, credential compromise, or misuse of the Services. 

You may not share login credentials, impersonate another person, access another user’s account without authorization, or attempt to bypass authentication, security, audit logging, permission, or access-control features. 

8. User Content and Patient Data 

You may submit, upload, enter, transmit, or authorize access to information, files, responses, health history, developmental observations, assessments, forms, notes, images, documents, communications, or other content through the Services (“User Content”). As between you and NeuralClinic.Ai, you retain ownership of your User Content, subject to the rights granted in these Terms and any applicable customer agreement or BAA. 

You grant NeuralClinic.Ai the right to host, process, transmit, display, analyze, format, generate outputs from, and otherwise use User Content as necessary to provide, secure, support, maintain, and improve the Services, comply with law, and enforce these Terms. 

Provider organizations represent that they have all rights, consents, permissions, and legal bases required to submit or authorize access to patient data through the Services. 

NeuralClinic.Ai may create de-identified, anonymized, or aggregated data that does not identify an individual, patient, household, provider, or customer, and may use such data for analytics, quality improvement, product development, research, benchmarking, safety, security, and business purposes, subject to applicable law and contractual restrictions. 

9. AI Features and Output Limitations 

The Services may use artificial intelligence, machine learning, natural language processing, rules-based engines, clinical logic, or analytics to generate outputs. AI-generated outputs may be incomplete, inaccurate, outdated, biased, or inappropriate for a particular patient or use case. 

You are responsible for independently verifying AI-generated outputs before relying on them. Providers must apply professional judgment and should review the basis, inputs, context, and limitations of any AI-assisted output before using it clinically. 

NeuralClinic.Ai does not guarantee that the Services will identify every condition, risk, delay, disorder, safety concern, documentation issue, care gap, billing issue, or clinical need. The Services should be used as support tools, not as autonomous decision-makers. 

You agree not to represent AI-generated outputs as final medical advice, diagnosis, treatment direction, school determination, eligibility determination, or emergency instruction unless independently reviewed and approved by an appropriately qualified professional. 

10. Communications and Electronic Notices 

By using the Services, you agree that NeuralClinic.Ai may provide notices and communications electronically, including through the Services, email, SMS/text message, push notification, in-app notification, or other contact information you provide. Message and data rates may apply. 

Healthcare communications may contain sensitive information. You are responsible for providing accurate contact information and maintaining the privacy of devices, email accounts, and phone numbers used to receive communications. 

You may opt out of certain non-essential communications, but operational, transactional, security, account, legal, or care-related communications may still be sent as permitted by law. 

11. Fees, Subscriptions, Trials, and Payment 

Certain Services may be offered under subscription plans, license fees, setup fees, implementation fees, per-provider fees, per-patient fees, pilot programs, usage-based fees, or other commercial terms described in an order form, statement of work, subscription page, invoice, or customer agreement. 

Unless otherwise stated in a written agreement, fees are non-refundable, payment obligations are non-cancelable for the applicable subscription term, and taxes, bank fees, and third-party charges are the customer’s responsibility. 

NeuralClinic.Ai may suspend or restrict access for non-payment, suspected fraud, violation of these Terms, security risk, or legal compliance reasons. Any free trial, pilot, or beta access may be modified, limited, or discontinued at any time unless a written agreement states otherwise. 

12. Third-Party Services, Integrations, and Devices 

The Services may integrate with or link to third-party systems, including electronic medical record systems, scheduling tools, telehealth tools, payment processors, cloud services, wearable devices, school systems, analytics tools, communication platforms, or other services. 

Third-party services are governed by their own terms and privacy practices. NeuralClinic.Ai is not responsible for third-party services, third-party data practices, third-party downtime, or data errors caused by third-party systems. 

You authorize NeuralClinic.Ai to exchange information with third-party services you connect, approve, or direct us to use, subject to applicable law, our Privacy Policy, any applicable BAA, and the permissions you configure. 

13. Acceptable Use and Prohibited Conduct 

You may use the Services only for lawful purposes and in accordance with these Terms, applicable documentation, and applicable law. 

You may not: use the Services for emergency response or crisis intervention; submit false, misleading, unlawful, infringing, or harmful content; access data without authorization; reverse engineer or attempt to extract source code except as permitted by law; interfere with system operations; introduce malware; conduct security testing without authorization; scrape or bulk extract data; use outputs to train competing systems without written permission; misuse AI features; violate privacy, child-safety, healthcare, education, export-control, or anti-discrimination laws; or use the Services in any manner that may harm patients, children, families, providers, NeuralClinic.Ai, or third parties. 

NeuralClinic.Ai may investigate suspected violations and may suspend or terminate access where appropriate. 

14. Intellectual Property 

The Services, software, platform design, workflows, models, documentation, reports, templates, content, logos, trademarks, trade names, algorithms, user interfaces, and other technology are owned by NeuralClinic.Ai, its affiliates, or its licensors and are protected by intellectual property and other laws. 

Except for the limited right to use the Services under these Terms or a written agreement, no rights are transferred to you. You may not copy, modify, distribute, sell, lease, sublicense, create derivative works from, or commercially exploit the Services unless expressly permitted in writing. 

Feedback, suggestions, ideas, improvements, or recommendations you provide may be used by NeuralClinic.Ai without restriction or compensation, provided that NeuralClinic.Ai will not use identifiable patient information except as permitted by applicable law and agreements. 

15. Confidentiality 

Provider organizations and other business customers may receive non-public information about NeuralClinic.Ai, including platform capabilities, pricing, product roadmap, technical documentation, workflow designs, security information, or business information. Such information must be treated as confidential and used only for evaluating or using the Services. 

NeuralClinic.Ai will treat customer confidential information, patient information, and sensitive account information according to applicable law, the Privacy Policy, any applicable BAA, and written agreements. 

16. Privacy 

Use of the Services is also governed by the applicable NeuralClinic.Ai Privacy Policy, including the Patient, Parent and Legal Guardian Privacy Policy and the Provider and Practice Web App Privacy Policy, as applicable. Those policies explain how NeuralClinic.Ai collects, uses, discloses, and protects information.

17. Beta, Pilot, and Evaluation Features 

Some features may be made available as beta, pilot, preview, demonstration, early-access, research, or evaluation features. These features may be incomplete, experimental, subject to change, unavailable, or less reliable than generally available features. 

Beta, pilot, and evaluation features should not be used for production clinical decisions, emergency use, or high-risk workflows unless expressly authorized in writing and reviewed by qualified professionals. 

18. Availability, Support, and Changes to the Services 

NeuralClinic.Ai may update, modify, suspend, or discontinue parts of the Services from time to time. NeuralClinic.Ai does not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times. 

Support obligations, uptime commitments, service levels, implementation services, and training obligations apply only if stated in a written agreement or order form. 

19. Disclaimers 

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. NeuralClinic.Ai disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability. 

NeuralClinic.Ai does not warrant that the Services will diagnose any condition, prevent harm, improve clinical outcomes, produce reimbursement, satisfy payer requirements, satisfy school or legal requirements, or meet every clinical, operational, regulatory, or business need. 

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. 

20. Limitation of Liability 

To the maximum extent permitted by law, NeuralClinic.Ai and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for lost data, lost revenue, loss of goodwill, clinical decisions, emergency events, payer denials, or third-party actions arising from or related to the Services. 

To the maximum extent permitted by law, NeuralClinic.Ai’s total aggregate liability for all claims arising from or related to the Services will not exceed the greater of: (a) the amounts paid to NeuralClinic.Ai for the Services giving rise to the claim during the three months before the event giving rise to liability; or (b) one hundred U.S. dollars ($100), unless a written agreement states a different limit. 

The limitations in this section apply regardless of legal theory and even if a remedy fails of its essential purpose, except where prohibited by law. 

21. Indemnification 

You agree to defend, indemnify, and hold harmless NeuralClinic.Ai and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to: your use of the Services; your User Content; your violation of these Terms; your violation of law; your unauthorized access to data; your professional, clinical, educational, billing, or administrative decisions; or your infringement or misappropriation of third-party rights. 

Provider organizations are responsible for claims arising from their users, patient relationships, clinical services, documentation, coding, billing, supervision, staff access, and compliance obligations, except to the extent caused by NeuralClinic.Ai’s breach of an applicable written agreement. 

22. Suspension and Termination 

NeuralClinic.Ai may suspend or terminate access to the Services if you violate these Terms, fail to pay required fees, create a security or legal risk, misuse the Services, infringe intellectual property rights, or if continued access may harm NeuralClinic.Ai, users, patients, children, providers, or third parties. 

You may stop using the Services at any time. Termination does not relieve payment obligations accrued before termination. Data return, deletion, retention, and transition obligations, if any, will be handled according to the applicable written agreement, Privacy Policy, BAA, and law. 

23. Governing Law and Dispute Resolution 

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, unless applicable law requires otherwise. 

Before filing a legal claim, the parties agree to attempt to resolve disputes informally by providing written notice describing the dispute and allowing at least thirty (30) days for good-faith resolution discussions. 

Subject to legal counsel review, any dispute not resolved informally may be brought in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction and venue in those courts. [Optional arbitration and class-action waiver language may be inserted here if approved by counsel.] 

24. Copyright and Intellectual Property Complaints 

If you believe content available through the Services infringes your copyright or other intellectual property rights, contact NeuralClinic.Ai with sufficient detail to identify the allegedly infringing content, your rights, your contact information, and a statement that your notice is accurate and authorized.

25. Export, Sanctions, and International Use 

You may not use, export, re-export, or transfer the Services in violation of U.S. export-control, sanctions, or similar laws. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and that you are not on a restricted-party list. 

The Services are primarily intended for use in jurisdictions where NeuralClinic.Ai makes them available. Use outside the United States may be subject to additional requirements and may not be appropriate unless covered by a written agreement. 

26. Changes to These Terms 

NeuralClinic.Ai may update these Terms from time to time. Updated Terms will be posted on the website or made available through the Services. The “Last Updated” date indicates when the Terms were last revised. 

Material changes may be communicated through the Services, email, or other reasonable means. Continued use of the Services after updated Terms become effective means you accept the updated Terms. 

27. Miscellaneous 

These Terms, together with applicable Privacy Policies, order forms, customer agreements, BAAs, and incorporated terms, form the agreement between you and NeuralClinic.Ai regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. 

You may not assign these Terms without NeuralClinic.Ai’s written consent, except as permitted in a written agreement. NeuralClinic.Ai may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. 

No waiver is effective unless in writing. Headings are for convenience only. Provisions that by their nature should survive termination will survive, including intellectual property, confidentiality, payment, disclaimers, limitations of liability, indemnity, dispute resolution, and data-related obligations.
